We’re looking for a Senior Equity Administration Manager to play a critical role in building, managing and executing all aspects of our equity administration program.

- Our cash compensation amount for this role ranges from $157,600 – $227,400 depending on your location and the cost of labor. All figures cited above are in $USD and pertain to workers located in the United States. Pay is based on several factors including market location, and may vary depending on job related experience, knowledge, qualifications, and skills.

Job Responsibilities
- Build, implement, and administer Webflow’s equity program, working cross-functionally and using Carta to accurately and efficiently manage the day-to-day equity administration operations, including but not limited to processing new awards (new hire, internal mobility, promotions), cancellations/forfeitures, grant modifications, terminations and equity repurchases, tenders and secondary transactions, and approving option exercises.
- Manage our equity inquiry and education processes; track and respond to questions, develop and deliver comprehensive communication and localized training programs to educate employees on equity at Webflow, build and maintain internal equity FAQ.
- Support the finance, accounting, tax, and payroll teams on reconciliations, audits, due diligence and compliance needs with regard to equity matters (e.g. 701 disclosures, 3921 issues for tax compliance, 409 valuations).
- Stay current on legislative and tax changes affecting global equity awards, trends and competitive practices in equity compensation, and offer recommendations as Webflow’s equity program evolves.

Job Requirements
- Have experience working with various forms of equity awards at private companies, including restricted stock, incentive stock options, nonqualified stock options and restricted stock units.
- Have experience working with complex cap tables (including common and preferred equity, SAFEs, options, warrants).
- Have experience administering equity agreements, an understanding of the 409A valuation process, and familiarity with equity-related accounting and tax implications.
- Are proficient in using Carta, and prior experience with migrating to other cap table management tools (e.g. Shareworks) is preferred.
- Have experience in equity administration in private and public companies.
- CEP preferred, but not required.
